Title Do investors really care about corporate governance? : evidence from Bursa Malaysia / Cheng Chi Lyn
Abstract The purpose of this study is to examine the relationship between corporate governance and firm value of Public Listed Companies in Malaysia. It also seeks to investigate the motivating factors that enhance the level of corporate governance among firms. A sample of 150 firms listed in Bursa Malaysia for a period of 3 years from 2009 – 2011 was selected. This study contributes to the existing literatures through its detailed application of Malaysian Corporate Governance (MCG) Index. Seven hypotheses were tested. The data collected as well as the statistical results support the formulated hypotheses. Overall, the study reveals that corporate governance does positively influence the firm value while financial performance also positively contributes to firm value. It is also found that firms of bigger size, higher leverage as well as better financial performance for consistently three years are more prone to have better corporate governance in place. Although there are minor associations between firm size, leverage and firm value, apparently firm size and leverage do not positively contribute to higher firm value in the absence of good corporate governance. Besides, findings also indicate that sub-governance practices such as CEO duality, board size, auditor independence, dividend policy and non-management ownership are positively associated with firm value while audit report lag is negatively influencing the firm value. There are theoretical and practical implications under this study. xix From theoretical perspective, this research has supplemented on the past researches by revealing the positive relationship between corporate governance and firm value among Public Listed Companies in Malaysia. From practical perspective, it provides vital implications to the regulators, investors, shareholders, managers and others by emphasising on the more relevant governance practices, promoting practical applications of corporate governance information in investment decision making, safeguarding the assets and sustaining the growth of the companies
