The extent of perception, understanding and responsiveness towards corporate governance mechanism : from managerial perspectives / Tan Gee Lin

Abstract
|
The research project conducted aims at exploring the extent of perception, understanding and responsiveness of those who situated outside the boardroom, primarily the business unit managers and executives, towards corporate governance mechanism in its conventional standpoint. It is to gauge the opinions held by these non board members, who always act as operational arm to the board and directors in achieving corporate missions, to assess trends in the effectiveness of initiatives to improve governance. Additionally, the research tends to study how these perceptions could be integrated into corporate governance framework as to strengthening overall accountability and transparency structure of the organisation.
Generally, the results from the collected data support the formulated hypothesis. The study revealed that essentially the managers and executives do embrace reasonably good grasp of corporate governance concept. Nevertheless, their understanding is often associated to the perception of controlling rather than directing the organisations. Following the consolidation of the findings, the study ends with some strategic recommendations as how to raise greater awareness on corporate governance across the organisation, to augment overall performance.
